THIRD-PARTY CODE OF CONDUCT POLICY

Diversified CPC International, Inc.

The Diversified CPC Code of Business Conduct outlines the ethical, legal, and behavioral standards expected of anyone performing work for or on behalf of Diversified CPC, including employees, directors, officers, temporary staff, vendors, contractors, consultants, suppliers, and service providers. All representatives of Diversified CPC are required to act with integrity, transparency, legal compliance, and respect for others.

Third‑party partners must maintain a safe, fair, and inclusive workplace that is free from discrimination, harassment, retaliation, and inappropriate conduct. These expectations apply whether work is performed on Diversified CPC property, with Diversified CPC personnel, or in connection with Diversified CPC operations. Third parties must also comply with rules related to human trafficking, safety, substance use, and workplace violence.

Vendors and contractors must follow antitrust and fair‑competition laws and are prohibited from engaging in price fixing, bid rigging, market allocation, or inappropriate sharing of competitive information.

Because Diversified CPC operates internationally, all third parties must comply with import/export regulations, sanctions, anti‑boycott laws, and anti‑corruption laws including the FCPA. Improper payments, bribes, and facilitation payments are strictly prohibited.

Third‑party partners must avoid conflicts of interest when working with Diversified CPC employees, including refraining from offering improper gifts, hospitality, or financial benefits. They are required to protect Diversified CPC confidential information, intellectual property, and any non‑public business data. The use of Diversified CPC information for insider trading is prohibited.

Contractors and suppliers must also comply with environmental and product safety laws, immediately report hazards, and meet all regulatory requirements associated with their work.

All communications, whether digital, written, verbal, or on social media must be professional and must not disclose confidential or misleading information. Third parties must also cooperate with legal processes, government inquiries, and required recordkeeping.

All third parties acting on Diversified CPC’s behalf are expected to uphold the same ethical and compliance standards required of Diversified CPC employees.
